1. Description of Service

Calibry AI is a proprietary software-as-a-service (SaaS) platform operated by Drez Labs, Inc. that utilizes artificial intelligence and automation tools to parse, format, and optimize professional resumes, analyze candidate data against job descriptions, and generate professional application collateral.

2. Subscription Tiers, Volumetric Caps, and Fees

• Payment and Billing Framework: The Service is structured around tiered monthly subscription cycles, customized volumetric processing limits, or credit allowances. The specific features, token metrics, and volume caps associated with the Free Trial, Basic, and Premium tiers are subject to dynamic modification.
• Administrative Pricing and Promotions: The Company reserves the right, at its sole discretion, to modify baseline subscription fees, adjust volumetric thresholds, and launch, modify, or terminate promotional pricing campaigns, discount codes, or coupon overrides at any time via its administrative control protocols.
• Strict Non-Refundable Policy: Because resume optimization workflows, AI generation features, and text parsing loops incur immediate computational infrastructure costs, all subscription payments, tier migrations, and transactions are final and non-refundable.
• Billing Administration: All transaction handling, invoicing, and recurring billing cycles are managed securely through our third-party payment processor, Stripe. By selecting a paid tier, you authorize the Company to charge your designated payment instrument automatically on a recurring basis.
• Subscription Cancellation: You may cancel recurring subscriptions at any time via your account billing console. Upon cancellation, your premium features will remain active until the conclusion of your current paid billing period, at which point your workspace will automatically downgrade.

3. User-Driven Submissions and Document Control

• Absolute User Supervision: Calibry AI is strictly a human-in-the-loop co-pilot utility. The Service provides tools to help you extract, optimize, and format your career datasets, but it does not, under any circumstances, submit job applications, execute browser automation sequences, or interact with Applicant Tracking Systems (ATS) on your behalf.
• User Responsibility: You retain exclusive narrative control and sole legal ownership over your professional history, tailored resumes, and cover letters. You are entirely responsible for manually reviewing, validating, and submitting your application materials to third-party employers, job boards, or recruitment platforms.
• Disclaimer of Outcomes: Drez Labs, Inc. explicitly disclaims any and all liability for inaccuracies, layout errors, or AI-generated output. You assume absolute responsibility for the veracity and integrity of all job application materials you choose to submit into third-party candidate pools.

The Company explicitly disclaims any and all liability for:

• Any automated generation errors, formatting discrepancies, layout anomalies, or content inaccuracies produced by artificial intelligence or backend compilation loops.
• Rejections, missed application deadlines, network transmission drops, or automated processing blocks imposed by enterprise recruitment platforms or tracking infrastructure.
• Any subsequent employment outcomes, contract negotiations, background screens, or labor disputes arising between you and an employer.

4. Data Protection and Credentials

• Account Security: You are strictly responsible for maintaining the confidentiality of your session tokens, platform passwords, and system access points. You must notify the Company immediately at our administrative help desk if you detect unauthorized access or credential compromise.
• Large Language Model (LLM) Training Exclusion: In strict alignment with our data privacy infrastructure, your uploaded employment records, resume text blocks, corporate analyses, and generated collateral files will never be utilized by the Company or its upstream model subprocessors to train, fine-tune, or retrain public or proprietary large language models.
• Account Deletion: You retain the right to terminate your account relationship at any time. Initiating account erasure through your user dashboard triggers an automated sequence that removes your active operational workspace, field-encrypted database rows, and storage blobs, subject to statutory business data retention limits.

5. Proprietary Rights and Acceptable Use

• Intellectual Property: The user interfaces, design architecture, template layouts (stark, linear, axis, anchor, band, and matrix), specialized compilers, software code, matching algorithms, and brand elements are the exclusive intellectual property of Drez Labs, Inc. You are granted a limited, revocable, non-transferable, non-assignable license to interact with the platform and download your compiled vector PDF files solely for your personal career search activities.
• Usage Restrictions: You agree not to deploy automated scraping platforms, deep-linking bypasses, malicious bots, or data-mining scripts to crawl the platform, circumvent credit verifications, reverse-engineer compiler structures, or scrape core system layouts. The Company reserves the right to terminate API access tokens, delete accounts, and block structural IP footprints immediately without prior notice if systemic scraping or infrastructure abuse is detected.
• Non-Employer Utility Designation:Calibry AI is provisioned strictly as a candidate-side career counseling and document formatting utility. The Service does not act as an employment agency, does not recruit or screen candidates on behalf of employers, and does not constitute an Automated Employment Decision Tool (AEDT) or Automated Decision System (ADS) under California, federal, or international labor frameworks. Score rankings generated within the User's private dashboard are purely for individual, personal career assessment.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DREZ LABS, INC. EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, APPLICANT TRACKING SYSTEM (ATS) PARSING COMPATIBILITY, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, COMPLETELY SECURE, OR ERROR-FREE, OR THAT USING THE AUTOMATED SUITE WILL DIRECTLY RESULT IN RECRUITER CONTACT, INTERVIEWS, JOB OFFERS, OR CAREER PLACEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DREZ LABS, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, SYSTEM UPTIME, OR REVENUE INCURRED BY YOU OR ANY THIRD PARTY. THE TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ANY CLAIMS, CAUSES OF ACTION, OR DAMAGES ARISING OUT OF THESE TERMS OR THE USE OF THE SAAS ARCHITECTURE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE OPERATIONAL EVENT GIVING RISE TO LIABILITY.

8. Governing Law, Exclusive Venue, and Class Action Waiver

• Governing Law: These Terms, and all platform operational updates, shall be governed by, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of laws methodology.
• Exclusive Jurisdiction: Any legal action, lawsuit, arbitration, or judicial proceeding arising out of or relating to these Terms must be instituted exclusively in the state or federal courts located within San Diego, California. Both parties hereby consent to the personal jurisdiction and venue of such courts.
• Class Action Waiver: YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
